The Executive Board of DataWalk S.A. registered in Wroclaw, Poland (“Company”, “Issuer”), informs that on June 28, 2024, in connection with adopting a resolution on shortening the term of office of the Supervisory Board, the Annual General Meeting of the Company (“AGM”) based on resolution No. 22 -26 dismissed Mr. Piotr Bindas, Mr. Grzegorz Dymek, Mr. Wojciech Dyszy, Mr. Ola Malm and Mr. Roman Pudełko from the position of Members of the Supervisory Board with effect as of June 30, 2024.
The Issuer’s Executive Board would like to thank Mr. Roman Pudełko and Mr. Ola Malm for the commitment and contribution to the development of the Company during their term of office on the Supervisory Board.
At the same time, basing on resolutions number No. 27-30, the AGM appointed Mr. Piotr Bindas, Mr. Grzegorz Dymek, Mr. Rafał Wasilewski and Mr. Ireneusz Wąsowicz as a Members of the Supervisory Board, for a new 3-year term of office with effect from July 1, 2024.
Moreover, on June 28, 2024, FGP Venture sp. z o.o., acting upon its rights resulting from § 15 point 5 of Articles of Association of the Company, appointed Mr. Wojciech Dyszy as a Member of the Supervisory Board for a new 3-year term of office with effect from July 1, 2024.
The Supervisory Board of DataWalk S.A. thus comprises of the following members:
– Piotr Bindas – Member of the Supervisory Board,
– Grzegorz Dymek – Member of the Supervisory Board,
– Wojciech Dyszy – Member of the Supervisory Board,
– Rafał Wasilewski – Member of the Supervisory Board,
– Ireneusz Wąsowicz – Member of the Supervisory Board.
The appointed Members of the Supervisory Board do not conduct any activity that would be competitive to that of the Company, are not partners of a competitive civil partnership, partnership or capital company, and do not participate in a competitive legal entity as members of its body. In addition, until the date of repealing the provisions on the Register of Insolvent Debtors maintained pursuant to the Act of August 20, 1997 on the National Court Register, i.e. until December 1, 2021, they were not entered into the above-mentioned Registry.
In the attachment to this current report, the Issuer presents information on the education, professional experience and positions of the appointed Members of the Supervisory Board.
