The Executive Board of DataWalk S.A. registered in Wroclaw, Poland (“Company”, “Issuer”), informs that the Supervisory Board of the Company, acting on the basis of the Issuer’s statute, due to Mr. Filip Paszke’s resignation from membership in the Supervisory Board with effect from April 30, 2024, co-opted Mr. Piotr Bindas from May 1, 2024 as a Member of the Supervisory Board, within current 3 year term of office with the other members of the Company’s Supervisory Board appointed on the basis of resolutions of the Ordinary General Meeting of the Company of June 30, 2021.
Pursuant to § 15 section 11 of the Company’s Articles of Association, the decision on the co-option of Piotr Bindas will be presented to the next General Meeting for approval.
The Supervisory Board of DataWalk S.A. starting from May 1, 2024 comprises of the following members:
– Piotr Bindas – Member of the Supervisory Board,
– Grzegorz Dymek – Member of the Supervisory Board,
– Wojciech Dyszy – Member of the Supervisory Board,
– Ola Malm – Member of the Supervisory Board,
– Roman Pudełko – Member of the Supervisory Board.
Mr. Piotr Bindas does not conduct any activity that would be competitive to that of the Company, does not participate in a competitive company as a partner in a civil law partnership, a commercial law partnership or as a member of a body of capital company, and does not participate in a competitive legal entity as member of its body. In addition, until the date of repealing the provisions on the Register of Insolvent Debtors maintained pursuant to the Act of August 20, 1997 on the National Court Register, i.e. until December 1, 2021, he was not entered into the above-mentioned Registry.
In the attachment to this current report, the Issuer presents information on the education, professional experience and positions of the appointed Member of the Supervisory Board.
