The Executive Board of DataWalk S.A., headquartered in Wroclaw, Poland (“Company”, “Issuer”) reports that today a framework agreement and the first order were signed with Coöperatieve Rabobank U.A. (“Rabobank” “Bank”), based in Utrecht, Netherlands, for the purchase of the DataWalk platform as Bank’s first-stage development of a next-generation graph analytics-based analytical system.
A key element of this agreement is the sale license component, enabling Rabobank to utilize the advanced functionalities of the DataWalk platform. Based on the current price list, the order pertains to a term license and establishes the terms of a 5-year collaboration between Issuer and Rabobank for the delivery, implementation, and technical support of the DataWalk platform within a specific operational division of Rabobank. At the initial phase, the project will cover less than 5% of users in a specified division. Ultimately, it assumes the development of the platform through the integration of new teams and automation of financial crime analysis processes, which creates the potential to expand the license to the enterprise level.
As a consequence of entering into the agreement and receiving the order, the Company announces that the Total Contract Value (“TCV”) of contracts with customers of the DataWalk Group signed in the last 12 months (TTM, i.e., from April 1, 2024, to March 31, 2025) has exceeded PLN 65 million and amounts to PLN 66,14 million.
The significant change in the pricing structure introduced in January 2025 directly translates into an increase in the value of contracts concluded and constitutes a further step towards building revenue recurrence. Exceeding the PLN 65 million TCV threshold (approximately 16 million USD) is likely to have a material impact on the Company’s revenue growth in both the current and subsequent years.
The Executive Board considers the fact that concluding this agreement is confidential information, as it confirms the Company’s competitiveness in technology, product offerings, and service to major global banking entities. The initiation of this collaboration with Rabobank in developing an analytical system based on next-generation graph analytics could significantly strengthen the Issuer’s competitive position in the financial sector, potentially positively impacting its future financial situation and development prospects of the Issuer’s Capital Group.
