The Executive Board of DataWalk S.A. with its registered office in Wrocław, Poland (“Company”, “Issuer”) informs about registration on June 14, 2024, by the District Court for Wrocław-Fabryczna in Wrocław, VI Commercial Department of the National Court Register, amendments to the Company’s Articles of Association, adopted by a resolution of the Company’s Executive Board of May, 21, 2024 increasing the Company’s share capital within the limits of authorized capital through the issuance of new series R shares in a private placement, the exclusion of preemptive rights of existing shareholders and amendments to the Company’s Articles of Association, of which the Issuer informed in the text of ESPI current report No. 18/2024 of May 21, 2024.
The Executive Board of the Company informs that in connection with the registration of the said amendments in the Articles of Association, the Company’s share capital amounts to PLN 563,298.80 (five hundred and sixty three thousand two hundred ninety eight zlotys and eighty groszy) and is divided into 5 632 988 (five million six hundred thirty two thousand nine hundred eighty-eight) shares, with a nominal value of PLN 0.10 each.
After registration, the structure of the Company’s share capital is as follows:
a) 725 000 (seven hundred and twenty five thousand) registered shares of series A, privileged, as to vote in such a way that two votes are attributable to one share,
b) 525 000 (five hundred and twenty five thousand) ordinary bearer series B shares,
c) 150 000 (one hundred and fifty thousand) ordinary bearer series C shares,
d) 70 000 (seventy thousand) ordinary bearer series D shares,
e) 150 000 (one hundred and fifty thousand) ordinary bearer series E shares,
f) 167 000 (one hundred and sixty seven thousand) ordinary bearer series F shares,
g) 220 000 (two hundred and twenty thousand) ordinary bearer series G shares,
h) 321 500 (three hundred twenty one thousand five hundred) ordinary bearer series H shares,
i) 207 000 (two hundred and seven thousand) ordinary bearer series I shares,
j) 470 000 (four hundred and seventy thousand) ordinary bearer shares J series,
k) 320 000 (three hundred and twenty thousand) ordinary bearer shares of the K series,
l) 355 000 (three hundred fifty five thousand) ordinary bearer series L shares,
m) 457 548 (four hundred and fifty seven thousand five hundred and forty eight) ordinary bearer series M shares,
n) 327 000 (three hundred twenty seven thousand) ordinary bearer series N shares,
o) 421 000 (four hundred twenty one thousand) ordinary bearer series O shares,
p) 246 940 (two hundred and forty six thousand nine hundred and forty) ordinary bearer series P shares.
r) 500 000 (five hundred thousand) ordinary bearer series R shares.
After registration, the total number of votes in the Company is 6.357.988 (six million three hundred fifty-seven thousand nine hundred eighty-eight) votes.
The amount of authorized capital remaining to be taken up after the issue of R series shares is PLN 0 (zero).
In connection with the registration of the share capital increase, the amendment to § 6 point 1 of the Company’s Articles of Association was registered. The Executive Board of DataWalk S.A., attached to this report, presents amended provisions and consolidated text of Articles of Association of the Company.
