In reference to current reports No. 17/2024 and No. 18/2024 dated May 21, 2024, the Executive Board of DataWalk S.A., headquartered in Wrocław (“Company” or “Issuer”), hereby informs that between May 21-28, 2024, agreements were concluded with investors for the subscription of a total of 500,000 (five hundred thousand) series R ordinary bearer shares with a nominal value of PLN 0.10 (ten groszy) each (“Shares”), issued by the Issuer’s Executive Board within the limits of authorized capital, excluding the pre-emptive rights of existing shareholders.
The issue price of one series R share is PLN 55 (fifty-five zlotys) per Share, resulting in the Company raising PLN 27,500,000.00 (twenty-seven million five hundred thousand zlotys) from the issuance of the series R shares. According to the share subscription agreements, cash contributions for all Shares will be made no later than May 29, 2024.
Upon receipt of the cash contributions for the subscribed Shares, the Company’s Executive Board will proceed with declaring the increased share capital of the Company to be PLN 50,000.00 (fifty thousand zlotys) and will specify the Company’s share capital amounting to PLN 563,298.80 (five hundred sixty-three thousand two hundred ninety-eight zlotys 80/100). Furthermore, the Issuer’s Executive Board will undertake steps to register the capital increase with the National Court Register (KRS), as well as to dematerialize, admit, and introduce the Shares to trading on the regulated market operated by the Warsaw Stock Exchange (GPW) S.A.
